An employee confidentiality agreement is a legally binding contract where an employee promises to keep your company’s confidential information secret both during and after employment. Under the federal Defend Trade Secrets Act (DTSA) of 2016 and all 50 state versions of the Uniform Trade Secrets Act, properly drafted agreements are the foundation for trade-secret protection.
In my experience, companies that skip this document lose the right to sue former employees under the DTSA because they cannot prove the information was subject to “reasonable efforts” to keep it secret (see 18 U.S.C. § 1839(3)(A)).
