The IRS also expects clear documentation when you claim deductions for major expenses, officer compensation, or distributions (see IRS Publication 535 and Form 1120S instructions).

Corporations – Directors run day-to-day (board resolution). Shareholders vote only on fundamental changes (shareholder resolution).
LLCs – Member-managed = all members sign resolutions. Manager-managed = only managers sign unless operating agreement says otherwise.
