As a CPA with over 12 years of experience drafting and negotiating tax preparation engagement letters for individuals, small businesses, trusts, and estates across the United States, I’ve seen firsthand how a clear, compliant engagement letter prevents misunderstandings, limits liability, and builds stronger client relationships. In this comprehensive guide, I’ll share my battle-tested tax services engagement letter template (updated for 2025 filing season), explain every section line-by-line, and give you a free downloadable Word version at the end.

A well-drafted tax return engagement letter is not just good practice—it’s required under IRS Circular 230 §10.33 and AICPA Statements on Standards for Tax Services (SSTS No. 8). This article contains the exact language my firm currently uses, along with optional clauses for common situations.

What Is a Tax Preparation Engagement Letter and Why You Need One in 2025

A tax preparer engagement letter is a written contract between you (the CPA, enrolled agent, or tax professional) and your client that clearly defines the scope of services, responsibilities of each party, fees, deadlines, record-keeping requirements, and limitations of liability.

According to IRS.gov, “Tax return preparers must exercise due diligence and meet specific standards” (see IRS Standards for Tax Professionals). A properly executed engagement letter is the single best way to document that you have met Circular 230 best-practice requirements.

Line-by-Line Explanation of the 2025 Tax Engagement Letter Sample

1. Scope of Engagement – The Most Important Section

This is where 90% of disputes originate. Be painfully specific. List every form you will prepare and every service you will not. Many CPAs now add an “Exclusions” bullet list for 1099 preparation, FBAR, state sales tax, etc.

2. Client Deadlines

Include a hard deadline (March 15 is standard) and an auto-extension clause if documents arrive late. Many firms now charge rush fees for post-March 31 submissions.

3. Due Diligence Language Required by IRS

Cite IRC §6695(g) due-diligence requirements for EITC, CTC/ACTC, AOTC, and Head of Household filings. My full template includes separate checkboxes for these when applicable.

4. Fee Transparency

The IRS now recommends disclosing whether fees are based on return complexity or potential refund size (see IRS Consumer Alert). Avoid refund-based pricing.

5. Cybersecurity & Data Privacy Clause (2025 Update)

With IRS mandating Written Information Security Plans (WISP) under Gramm-Leach-Bliley, add: “We maintain physical, electronic, and procedural safeguards compliant with FTC Safeguards Rule and IRS Publication 1075.”
